MilestoneHub — Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") form a binding agreement between you and MilestoneHub Inc. ("MilestoneHub", "we", "us", or "our").

By accessing or using the MilestoneHub platform (the "Services"), you agree to be bound by these Terms. If you do not agree, you must not use the Services.

These Terms apply to both:

  • consumers; and
  • business users, including independent professionals and organizations.

3. Description of the Services

MilestoneHub provides a software platform that enables users to:

  • build funnels, websites, and public-facing pages;
  • manage contacts, forms, and appointments;
  • send email, SMS, and other communications;
  • process payments and invoices;
  • manage memberships and digital programs;
  • automate workflows and business operations.

Certain features include usage-based components such as messaging, calling, email delivery, and AI services.

MilestoneHub's services are limited to software access, platform configuration, and consultation and coaching related to the use and operation of the platform. MilestoneHub develops upon and supports the platform. How account holders choose to use it in service of their own clients is entirely their own independent practice.


4. Eligibility and Age Restriction

You must be at least 18 years old to create an account or use the Services. By accepting these Terms, you represent and warrant that you are at least 18 years of age. MilestoneHub does not knowingly permit individuals under the age of 18 to use the Services.


5. Third-Party Infrastructure and Data Processing

5.1 Third-Party Infrastructure

The Services are powered in part by third-party infrastructure, including white-labeled platforms, telecommunications providers, hosting providers, and software vendors.

This includes, but is not limited to:

  • CRM and automation infrastructure (e.g., LeadConnector);
  • messaging and telecommunications providers;
  • payment processors;
  • AI service providers.

5.2 Data Processing and Cross-Border Transfers

You acknowledge and agree that:

  • personal data may be processed, stored, or transmitted outside Québec and Canada;
  • third-party service providers may access or process data to enable functionality;
  • such processing may occur in jurisdictions with different data protection laws.

MilestoneHub implements reasonable safeguards and contractual protections where required by applicable law.

5.3 Third-Party Terms

Certain features may be subject to third-party terms and policies. Your use of those features constitutes acceptance of those terms where applicable.

MilestoneHub is not responsible for:

  • third-party outages or failures;
  • changes in third-party services;
  • data handling practices of third parties beyond legal obligations.

5.4 Support Limitation

All support must be requested through MilestoneHub. You may not contact underlying infrastructure providers directly.


6. Website Use

You may access and use the MilestoneHub website for informational and commercial purposes related to evaluating the Services.

You may not:

  • copy, reproduce, or distribute website content without authorization;
  • use the website for unlawful or harmful purposes;
  • attempt to interfere with website functionality or security.

All website content remains the property of MilestoneHub or its licensors.


7. Account Registration and Responsibility

You must:

  • provide accurate and complete information;
  • maintain the confidentiality of your credentials;
  • accept responsibility for all activity under your account.

You are fully responsible for your use of the Services and for all activity conducted through your account, including the activity of any sub-users, clients, or team members you grant access to.


8. Subscription Plans, Billing, and Renewal

8.1 Subscription Types

MilestoneHub offers the following subscription types:

  • Monthly recurring subscriptions
  • Annual recurring subscriptions

Subscriptions grant access to the platform on a recurring basis and must be paid on a recurring schedule. Lifetime or perpetual access to the platform is not available for a one-time fee.

8.2 One-Time Purchases

Certain add-ons, setup services, or configuration packages may be available for a one-time fee. One-time purchases do not confer ongoing subscription access unless explicitly stated. Please refer to the applicable product or service description at the time of purchase for full details.

8.3 Automatic Renewal

Subscriptions renew automatically unless cancelled before the renewal date. You are responsible for cancelling your subscription prior to renewal if you do not wish to be charged for the next billing period.

8.4 Fees

You agree to pay:

  • subscription fees;
  • applicable taxes;
  • usage-based charges, including messaging, email, AI, and telephony usage.

Usage-based fees may vary depending on consumption and third-party costs.

8.5 Payment Authorization

You authorize MilestoneHub to charge your payment method on file for all applicable fees, including recurring subscription charges and any usage-based amounts incurred during the billing period.


9. Refund Policy

  • Subscription fees are refundable within 15 days of the first-time purchase of a subscription.
  • No refunds are provided for:
    • subscription renewals or subsequent billing cycles;
    • usage-based charges;
    • services rendered (including setup, configuration, consultation, or design work);
    • one-time purchases, unless otherwise stated at the time of purchase.

This policy is subject to mandatory consumer protection rights under applicable law.


10. Québec Consumer Compliance (Distance Contracts)

Before completing a purchase, you will be provided with:

  • full pricing and service details;
  • the ability to review and correct errors;
  • the ability to accept or decline the agreement.

A copy of these Terms and your transaction details will be provided in a format that allows retention and printing.


11. Communications, Messaging, and Anti-Spam Compliance

11.1 General

The Services may include email, SMS, MMS, voice, and other communication features.

11.2 User Responsibilities

You are solely responsible for:

  • obtaining valid consent before sending communications where required by law;
  • complying with all applicable laws, including Canada's Anti-Spam Legislation (CASL), the CAN-SPAM Act, TCPA, and other applicable anti-spam and telemarketing laws;
  • complying with carrier rules and registration requirements, including A2P 10DLC requirements where applicable.

11.3 Prohibited Messaging Use

You may not use messaging features for:

  • unsolicited or unlawful communications;
  • deceptive or misleading content;
  • prohibited industries or content under applicable carrier rules.

11.4 Deliverability Disclaimer

Delivery of messages is not guaranteed. Messages may be delayed, filtered, blocked, or rejected by carriers or third parties. MilestoneHub is not liable for undelivered, delayed, or filtered messages.

11.5 Messaging Fees

Messaging and communication services may incur additional usage-based fees.


12. Acceptable Use and Professional Conduct

12.1 Prohibited Conduct

You may not:

  • violate any applicable laws or regulations;
  • misuse, abuse, or circumvent the platform or its features;
  • interfere with system integrity, security, or the experience of other users;
  • engage in fraudulent, deceptive, or harmful conduct;
  • use the platform to deliver services that require professional licensing unless you hold the appropriate credentials and remain solely responsible for compliance with your applicable regulatory obligations;
  • use the platform to engage in unauthorized practice of a regulated profession;
  • represent AI-generated content to your clients as independently verified professional advice without appropriate human review and oversight.

12.2 Non-Disparagement

You agree that you will not make any public statement, or engage in any conduct, that disparages or is likely to damage the reputation of MilestoneHub, its Services, or its officers, directors, or employees. This does not limit your right to provide honest feedback or participate in protected activities under applicable law.

MilestoneHub may suspend or terminate accounts for violations of this section.


13. AI-Powered Features

13.1 Nature of AI Features

The Services include features that leverage artificial intelligence to generate text, suggestions, and other content ("AI Output"). AI Output is produced by automated systems and is not reviewed or validated by MilestoneHub prior to delivery.

13.2 No Guarantee of Accuracy

AI Output may contain errors, omissions, or inaccuracies. MilestoneHub makes no representations or warranties regarding the accuracy, completeness, reliability, or suitability of AI Output for any particular purpose.

13.3 Your Responsibility for AI Output

You are solely responsible for:

  • reviewing AI Output before publishing, sharing, or acting on it;
  • ensuring AI Output complies with applicable laws and does not infringe the rights of third parties;
  • any consequences arising from your use or distribution of AI Output.

You agree not to present AI Output as independently verified professional, medical, financial, legal, or regulatory advice without appropriate human review.

13.4 Ownership of AI Output

As between you and MilestoneHub, you retain ownership of AI Output generated through your use of the Services, subject to any limitations imposed by applicable law or the terms of underlying AI service providers. MilestoneHub does not claim ownership of AI Output generated by you through the platform.

13.5 AI Training and Data Usage

MilestoneHub does not use your private data or specific AI Inputs to train its own proprietary models. However, you acknowledge and agree that third-party AI service providers (e.g., OpenAI, Anthropic, Google) used by the platform may have their own data retention and usage policies. Your use of AI features constitutes acceptance of the data handling practices of these underlying providers.

13.6 Prohibited AI Uses

You may not use AI features to:

  • generate content that is false, misleading, or defamatory;
  • impersonate individuals or organizations;
  • produce content that violates applicable law or these Terms;
  • facilitate harm to any person.

14. Platform, Community, and Boundaries

14.1 MilestoneHub's Role

MilestoneHub is a platform and professional community for coaches. We provide software, configuration support, consultation, and collaborative resources to help coaches build and operate their practices. Our relationship is with account holders — the coaches and professionals who use the platform. MilestoneHub does not extend into the relationships coaches hold with their own clients, does not interact with those clients, and bears no responsibility for the services, advice, programs, or outcomes that coaches deliver through their independent practice.

14.2 Independent Operators

Account holders who use the platform to serve their own clients do so as independent operators. MilestoneHub is not a party to any relationship between an account holder and their end clients. End clients of account holders are not customers of MilestoneHub and have no contractual relationship with MilestoneHub arising from their use of services delivered through the platform.

14.3 No Control Over Delivered Services

MilestoneHub exercises no control over and accepts no responsibility for:

  • the quality, accuracy, or suitability of any coaching, consulting, or other services delivered through the platform;
  • any content, advice, programs, or communications that account holders share with their clients;
  • outcomes or results experienced by end clients of account holders;
  • whether an account holder holds required professional licenses or credentials for the services they deliver.

14.4 Account Holder Responsibility

Account holders are solely responsible for:

  • the services they deliver to their clients through the platform;
  • compliance with all laws, regulations, and professional standards applicable to their services;
  • implementing their own terms of service and privacy policy governing their relationship with their end clients;
  • obtaining all necessary consents from their end clients.

15. User Content and Data

You retain ownership of your content.

You grant MilestoneHub a non-exclusive, royalty-free, worldwide license to host, process, transmit, and display your data solely to the extent necessary to provide the Services to you.

You are responsible for:

  • the legality of your content;
  • compliance with applicable privacy laws;
  • obtaining proper consent from individuals whose data you upload or process through the platform.

Your use of the Services is governed by the MilestoneHub Privacy Policy, available at milestonehub.com/privacy.

You acknowledge:

  • personal information may be processed outside Québec and Canada;
  • third-party providers may process data on our behalf;
  • cross-border transfers are necessary for service delivery.

16.1 Data Subject Rights

You are solely responsible for managing and responding to data subject rights requests from your end users, including requests for access, correction, deletion, portability, and objection to processing. If MilestoneHub receives such requests directly from your end users, MilestoneHub may redirect those requests to you.

16.2 Data Breach Notification

You are solely responsible for complying with all applicable data breach notification obligations. In the event MilestoneHub notifies you of a security incident affecting your data, you are responsible for determining and fulfilling any notification obligations under applicable law.


17. Data Retention and Deletion Upon Termination

Upon termination or cancellation of your account:

  • You are responsible for exporting any data you wish to retain prior to the effective date of termination.
  • MilestoneHub will retain your data for a period of 30 days following termination, after which it may be permanently deleted or anonymized.
  • Upon your request, MilestoneHub will use commercially reasonable efforts to delete or anonymize your personal data, subject to any legal obligations requiring retention.
  • MilestoneHub is not responsible for any loss of data that occurs following account termination.

18. Intellectual Property

MilestoneHub retains all rights to its own brand, trademarks, logos, proprietary configurations, custom content, and any MilestoneHub-specific intellectual property developed in connection with the Services.

The underlying platform infrastructure, software, and technology that powers the Services is owned by or licensed to MilestoneHub through third-party providers. Nothing in these Terms transfers ownership of that underlying technology to you, nor does MilestoneHub claim ownership over it beyond the rights granted to it by those providers.

You retain ownership of your content and data as described in Section 15. No rights in MilestoneHub's brand or proprietary materials, or in the underlying third-party platform, are transferred to you by virtue of your use of the Services.


19. Service Availability and Changes

MilestoneHub may:

  • modify or discontinue features;
  • update pricing;
  • change service structure.

Where such changes materially increase your obligations or reduce MilestoneHub's obligations, MilestoneHub will provide at least 30 days' prior notice. For consumers in Québec, notice will be provided as required under applicable consumer protection law.


20. Suspension and Termination

MilestoneHub may suspend or terminate accounts if:

  • these Terms are violated;
  • required by applicable law;
  • required by third-party infrastructure providers;
  • risk or misuse is identified.

You may cancel your subscription at any time before the next renewal date. Upon cancellation, your access to the Services will continue until the end of the current billing period.


21. Indemnification

You agree to defend, indemnify, and hold harmless MilestoneHub Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

  • your use of the Services;
  • your violation of these Terms;
  • your violation of any applicable law or regulation;
  • any content you create, publish, or transmit through the platform;
  • any services you deliver to your end clients through the platform;
  • any claim by an end client of yours arising from their use of services you deliver through the platform;
  • your failure to obtain required consents or comply with applicable privacy laws.

22. Québec Consumer Rights

Nothing in these Terms limits rights under:

  • the Consumer Protection Act (Québec);
  • the Civil Code of Québec;
  • any other mandatory consumer protection legislation applicable to you.

23. Force Majeure

MilestoneHub is not liable for any delay or failure to perform its obligations under these Terms where such delay or failure results from circumstances beyond its reasonable control, including but not limited to: natural disasters, pandemics, acts of government, power failures, internet or telecommunications disruptions, cyberattacks, or failures of third-party infrastructure providers. MilestoneHub will use commercially reasonable efforts to resume normal service as soon as practicable.


24. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis.

MilestoneHub does not guarantee:

  • uninterrupted or error-free availability;
  • that the Services will meet your specific requirements;
  • specific outcomes from use of the Services or AI features.

This does not override any mandatory legal warranties that cannot be excluded under applicable law.


25. Limitation of Liability

To the maximum extent permitted by law:

  • MilestoneHub is not liable for indirect, incidental, special, consequential, or punitive damages;
  • MilestoneHub's total aggregate liability to you for any claims arising under or related to these Terms shall not exceed the fees paid by you to MilestoneHub in the 3 months immediately preceding the event giving rise to the claim.

For business users, this limitation applies regardless of the form of action and whether MilestoneHub has been advised of the possibility of such damages.

This limitation does not apply to the extent prohibited by mandatory law, including applicable consumer protection legislation.


26. User Compliance Responsibility

MilestoneHub provides tools only.

You are responsible for compliance with all laws applicable to your use of the platform and your business, including:

  • privacy and data protection laws (including PIPEDA, Law 25, GDPR, and CCPA where applicable);
  • anti-spam and marketing laws (including CASL);
  • tax obligations;
  • professional licensing and regulatory requirements;
  • accessibility requirements applicable to your jurisdiction and customer base.

27. Amendments

MilestoneHub may update these Terms at any time.

Where changes:

  • materially increase your obligations; or
  • materially reduce MilestoneHub's obligations,

you will receive at least 30 days' prior written notice. Your continued use of the Services after the effective date of any amendment constitutes your acceptance of the updated Terms. If you do not agree with an amendment, you may cancel your subscription before the changes take effect.


28. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Québec and the applicable federal laws of Canada.

28.1 Mandatory Informal Negotiation

Before initiating any formal legal proceeding or claim, you and MilestoneHub agree to attempt to resolve the dispute informally. You must notify MilestoneHub of your claim in writing via support@milestonehub.com. Both parties agree to negotiate in good faith for a period of at least thirty (30) days from the date the notice is received. If the dispute is not resolved during this period, either party may then proceed with a formal claim in accordance with these Terms.

28.2 Jurisdiction for Business Users

If you are using the Services for business purposes, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services that is not resolved through informal negotiation shall be brought exclusively before the courts located in Montréal, Québec, and you irrevocably submit to the jurisdiction of those courts.

28.3 Jurisdiction for Consumers

If you are a consumer residing in Québec, you may bring a claim before a court having jurisdiction under applicable law. MilestoneHub agrees that the courts of Montréal, Québec shall have jurisdiction, without limiting any rights you may have under consumer protection laws to bring an action in another competent district.


29. Language

The parties have requested that these Terms be drafted in English.

31. Entire Agreement

These Terms, together with the MilestoneHub Privacy Policy and any other policies incorporated herein by reference, constitute the entire agreement between you and MilestoneHub with respect to the Services and supersede all prior agreements, representations, and understandings.
